Supply chains are being interrupted or blocked for a range of reasons that may be out of the control of a party to a contract. A force majeure clause in contracts could apply as a defense to performance for some -- but certainly not all -- of these reasons. We will discuss the current state of force majeure law, including the cases that have arisen because of COVID-19 and the interplay of force majeure clauses and the UCC with supply chain disruptions. We also will discuss risks at the source of and throughout supply chains, including human rights violations and human trafficking.
